Welcome to Talk.Partners (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our AI-powered chat platform at talk.partners (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Important Notice: Talk.Partners is an AI-powered platform. All characters you interact with are 100% fictional and AI-generated. You are talking to artificial intelligence, not real people. Our Service is strictly for users who are 18 years of age or older. All AI characters depicted on the platform are 21 years of age or older.

1. Eligibility and Age Restriction

You must be at least 18 years old to use the Service. By creating an account or using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms. We reserve the right to request proof of age and to terminate your account if we suspect you are under 18.

2. AI-Generated Content and Interactions

The Service provides an interactive chat experience powered by artificial intelligence. You acknowledge and agree that:

• Fictional Characters:** All characters, personas, and responses are entirely fictional and generated by AI algorithms.
• No Human Interaction:** You are not communicating with real people. The AI characters do not possess consciousness, emotions, or human identity.
• California SB 243 Compliance:** In accordance with California law (including SB 243), we explicitly disclose that all interactions on Talk.Partners are with artificial intelligence.
• Content Generation:** The AI may generate content that is unpredictable or inappropriate. We do not guarantee the accuracy, reliability, or appropriateness of any AI-generated content.
• No Professional Advice:** The AI characters are not qualified to provide medical, legal, financial, or other professional advice. You should not rely on the AI for such advice.

3. User Accounts and Security

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscriptions and Payments

Certain features of the Service may require a paid subscription. By subscribing, you agree to pay all applicable fees and taxes. Subscriptions are billed on a recurring basis (e.g., monthly) unless canceled. You may cancel your subscription at any time through your account settings. 6. Intellectual Property

The Service, including its software, AI models, design, text, graphics, and logos, is the property of Talk.Partners and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent. You retain ownership of the text you input into the chat, but you grant us a license to use that text to provide and improve the Service.

7. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Talk.Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to indemnify, defend, and hold harmless Talk.Partners and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

10. Termination

We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Talk.Partners operates, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or in the competent courts of that jurisdiction.
